The following contract and its terms will set forth a binding agreement between Memory Box LLC. (Provider) and You the (Client). The parties, for photo booth services for an event taking place at the location indicated by the client in the attached Client information form This written contract sets forth the full, written intention of both parties and supersedes all other agreements between the parties written and/or oral.
The service period will be for the times and dates indicated in the Client information form. We will arrive approximately one hour before your service period begins. If you request us to arrive earlier, idle hour charges may apply. Provider agrees to have a Memory Box photo booth operational for a minimum 80% of the service period; occasionally, photo booth operations may need to be interrupted for maintenance of the photo booth (photo paper changes, camera calibration, printer calibration, green screen calibration etc.
A non-refundable deposit of $90.00 is due upon Acceptance of this contract. The remaining balance is due 14 days before the Client’s event paid in full. If the remaining balance is not paid 14 days prior to the Client’s event, the Client’s event may be cancelled at the Provider’s discretion.
If the Client uses the equipment for a time period exceeding the service period defined in this contract, the overage in rental time will be billed to the Client at the rate of $99.00 per hour, unless otherwise agreed upon in writing. Client agrees that in addition to any legal rights and remedies the Provider has, Client will pay a $40.00 fee for any returned checks which Client may write to Provider as payment for any service by Provider or the rental of Provider’s equipment.
ACCESS, SPACE & POWER FOR PHOTO BOOTH
Client will arrange for an appropriate 5’ deep 6’ wide and 8’ tall space for the Providers photo booth at their chosen venue. If the event is out doors, Client will provide a space that is level, dry, covered and within 15’ of a 120 volt 3 prong grounded electrical outlet.
DATE CHANGES & CANCELLATIONS
Any request for a date change must be made in writing at least (30) thirty days in advance of the Client’s original event date. Any and all date changes are subject to photo booth availability and receipt of a new service contract. If the alternate date is unavailable, the non-refundable deposit shall be forfeited and the event shall be cancelled. If the event is cancelled for any reason, the Client’s non-refundable deposit is forfeited.
DAMAGE TO PROVIDERS EQUIPMENT
Client acknowledges that by accepting this contract they shall be responsible for any loss or damage to the Provider’s Equipment caused by any theft or disaster (including but not limited to fire, flood, wind, or rain).
Client agrees to and fully understands the following: a) The Client shall indemnify Provider against any and all liability in relation to Client’s event during and after the Client’s event. Client shall indemnify Provider from the time of service and on into the future, against any and all liability associated with Client. b( The Client will indemnify Provider against any and all liability in association with or connection to the use of any and all pictures taken within the Memory Box LLC. Photo booth as well as its representatives, employees, or affiliates at the Client’s event.
If any provision(s) of the set terms prove to be unlawful void, or if for any reason are unenforceable under contract law, then provision(s) or unenforceable portion thereof shall be deemed separate from the rest of this contract and shall not impact or effect the validity and enforceability of any remaining provision(s) or portions thereof. This contract in its entirety is the entire agreement between Provider and Client in relation to the matter herein and shall not be modified in any way accept in writing, signed by both parties. If a conflict arises between parties, Client agrees to resolution via arbitration. In the event the Provider is not able to supply a working photo booth for at least 80% of the agreed upon service period, the Client shall receive a prorated refund amount based on the amount of service received. If the Providers printer fails to print out photos on site the Provider shall be allowed to provide a website gallery to the Client where their guests can log into and download the digital files for their own use free of charge. If service is not received Providers maximum liability will be the return of any and all payments received by the Provider from the Client, Provider is not in any way responsible for any consequential damages, or any lost opportunities upon breach of this agreement.
